All services are subject to availability and may be modified or discontinued at our discretion.

4. Service Agreements

Specific services may also be governed by separate agreements, statements of work, proposals, quotations, or service level agreements (“SLAs”). Where a separate agreement exists, that agreement shall take precedence in the event of conflict.

5. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information

  • Maintain appropriate licences for all software used

  • Ensure authorised access to systems and infrastructure

  • Maintain secure passwords and account credentials

  • Cooperate reasonably with Monitor LLC during service delivery

The Client is responsible for ensuring compliance with applicable laws and regulations relating to their own business operations.

6. Fees and Payment

Unless otherwise agreed in writing:

  • All invoices are payable within 14 days of issue

  • Late payments may incur interest and/or service suspension

  • Prices are exclusive of applicable taxes

  • Hardware, software, licensing, and third-party subscriptions may be billed separately

Monitor LLC reserves the right to amend pricing with reasonable notice.

7. Confidentiality

Both parties agree to maintain the confidentiality of any non-public or sensitive information disclosed during the course of service delivery.

Confidential information shall not be disclosed to third parties except where required by law or necessary for service provision.

8. Data Protection

Monitor LLC will process personal data in accordance with applicable data protection legislation and our Privacy Policy.

We implement appropriate technical and organisational measures to protect data against unauthorised access, disclosure, loss, or destruction.

9. Cybersecurity and Liability Disclaimer

While Monitor LLC employs industry-standard security practices, no system or network can be guaranteed as completely secure.

Monitor LLC shall not be liable for:

  • Cyberattacks or malicious third-party actions

  • Data breaches outside our direct control

  • Internet outages or third-party service failures

  • Loss of revenue, profits, or business interruption

  • Indirect or consequential damages

Clients are strongly advised to maintain adequate cyber insurance coverage.

10. Limitation of Liability

To the fullest extent permitted by law, Monitor LLC’s total liability arising from any claim shall not exceed the total fees paid by the Client for services during the preceding 12 months.

Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability which cannot legally be excluded.

11. Third-Party Services

Monitor LLC may utilise third-party vendors, software providers, cloud platforms, or telecommunications services.

We are not responsible for failures, outages, pricing changes, or security incidents caused by third-party providers.

12. Intellectual Property

All intellectual property rights relating to Monitor LLC’s documentation, systems, methodologies, software configurations, and materials remain the property of Monitor LLC unless otherwise agreed in writing.

The Client retains ownership of its own data and content.

13. Termination

Either party may terminate services with written notice in accordance with any applicable agreement.

Monitor LLC reserves the right to suspend or terminate services immediately where:

  • Payment obligations are not met

  • The Client breaches these Terms

  • Continued service would create legal or security risk

Outstanding fees remain payable following termination.

14. Force Majeure

Monitor LLC shall not be liable for delays or failures caused by events outside our reasonable control, including natural disasters, power outages, cyber incidents, labour disputes, or governmental actions.

15. Website Use

Users of the Monitor LLC website agree not to:

  • Attempt unauthorised access to systems

  • Distribute malware or malicious code

  • Copy or misuse website content

  • Use the website unlawfully

We reserve the right to restrict access where misuse is suspected.

16. Amendments

Monitor LLC reserves the right to update these Terms and Conditions at any time. Updated versions will be published on our website.
